CONFIDENTIALITY AGREEMENT
This Mutual Confidentiality Agreement is entered into by and between StarServer Inc. and [Name of Vendor].
1. Confidential Information. The receiving party agrees to accept and use the Confidential Information solely for the Purpose. Notwithstanding, Confidential Information shall not include information that: (i) is now or subsequently becomes generally available in the public domain; (ii) the receiving party can demonstrate was rightfully in its possession prior to disclosure... ; or (iv) was independently developed without breach.
2. Non-Disclosure Obligations. Each party agrees that it shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information of the other party. Without limiting the foregoing, each party shall take at least those measures that it takes to protect its own most highly confidential information.
